E-TIPS LIMITED — TERMS OF USE

1. Introduction

1.1. These Guest Terms of Use ("Terms") govern how individuals ("Guest", "you", "your") interact with the E-Tips technology platform ("Service") when:

• registering for a loyalty card,
• participating in a loyalty program,
• placing online orders,
• making bookings/reservations,
• receiving digital Wallet cards,
• making online payments or leaving tips.

1.2. The Service is operated by E-TIPS LIMITED, a company registered in the Abu Dhabi Global Market (ADGM) under registration number 5742 ("E-Tips", "we", "our", "us").

1.3. By checking the box "I agree to the Terms of Use and Privacy Policy" on the registration page or by using any part of the Service, you fully accept these Terms.

1.4. These Terms apply only to individual Guests. Businesses, restaurants, administrators and employees operating the system are governed by separate B2B Terms.

1.5. If you do not agree with these Terms, do not register or use the Service.

2. What the Service Does

2.1. E-Tips is a technology platform that helps restaurants, cafés and hospitality businesses ("Company") manage customer loyalty, booking, ordering and communication.

2.2. As a Guest, you may use the Service to:

• register for a loyalty card and view your benefits;
• accumulate and redeem points, cashback, rewards and tiers (as defined by the Company);
• receive offers, promotions and birthday rewards;
• place takeaway, delivery or preorder orders;
• make reservations for tables or services;
• receive order and booking confirmations;
• receive digital Wallet cards (Apple Wallet / Google Wallet);
• receive notifications via Email, SMS, WhatsApp or Wallet (where allowed);
• make online payments for orders or deposits;
• leave tips using online payment methods.

2.3. The Company you interact with (not E-Tips) defines:

• loyalty program rules;
• points expiration;
• cashback rate;
• tier advancement;
• availability of promotions;
• menu items, prices, VAT, fees;
• booking rules and no-show policies;
• ordering availability and delivery zones;
• refund and cancellation rules.

3. Guest Account Registration

3.1. You create a Guest account by:

• filling out the registration form;
• entering personal information (First Name, Last Name, Email, Phone, Date of Birth, etc.);
• agreeing to these Terms and the Privacy Policy.

3.2. A Wallet card may also create or update your loyalty profile automatically.

3.3. You represent that:

• all information you provide is true and accurate;
• you are at least 18 years old;
• you are registering for yourself and not on behalf of others.

3.4. You may request deletion of your account at any time (details in the Privacy Policy).

4. Loyalty Program Participation

4.1. Loyalty programs are created and managed by the Company, not E-Tips.

4.2. Depending on the Company's settings, you may receive:

• points or cashback for purchases;
• rewards, discounts, bonuses;
• birthday gifts;
• welcome bonuses;
• tier-based benefits.

4.3. Loyalty rules, calculations, expiration and redemption limits are defined by the Company.

4.4. E-Tips only provides the software to record and display your loyalty activity.

5. Bookings & Reservations

5.1. You may use the Service to make a reservation for tables, time slots, events or services.

5.2. You may need to provide:

• your name
• phone number
• email
• party size
• date and time
• additional comments or preferences

5.3. The Company is fully responsible for:

• accepting, confirming or rejecting your booking;
• setting cancellation and no-show policies;
• charging deposits (if applicable);
• handling disputes or service quality issues.

6. Online Orders (Takeaway, Delivery, Pre-Order)

6.1. You may place orders for food, drinks or services using the Service.

6.2. You may need to provide:

• name
• phone number
• email
• delivery address (if delivery is selected)
• order items and quantities
• comments or preferences

6.3. The Company is solely responsible for:

• menu accuracy;
• preparation quality and safety;
• pricing, VAT and fees;
• delivery fulfilment;
• refunds, returns and complaints.

7. Online Payments & Tips

7.1. Payment Processing

All online payments inside the Service are processed through Stripe.

7.2. E-Tips does not collect or store full card data.

Stripe processes:

• card numbers
• CVV
• authentication data

E-Tips receives only:

• transaction amount
• masked card digits
• transaction ID
• status (success/failure)

7.3. Payment Types Supported

You may use the Service to pay for:

• orders (takeaway, delivery, preorder);
• booking deposits;
• services;
• delivery fees;
• tips or gratuity.

7.4. Responsibility for Financial Transactions

The Company, not E-Tips, is responsible for:

• total amounts charged to you;
• taxes (including VAT);
• refunds and cancellations;
• chargebacks and disputes;
• accuracy of charges;
• tip distribution to staff.

8. Communications & Notifications

8.1. By using the Service, you may receive:

• booking confirmations
• order updates
• loyalty balance updates
• reward notifications
• WhatsApp / SMS verification codes
• Wallet push notifications
• marketing messages (if you opted in)

8.2. You may unsubscribe from promotional messages at any time, but you will still receive essential transactional messages (e.g., booking confirmation).

9. Guest Responsibilities

You agree to:

• provide accurate information;
• not misuse the Service;
• not attempt to manipulate loyalty points or exploit the system;
• comply with the Company's ordering and booking rules;
• behave respectfully towards Company staff and other guests.

10. Limitations of Liability

To the maximum extent permitted by UAE and ADGM law:

10.1. E-Tips is not liable for:

• food, product or service quality;
• delivery delays or failures;
• booking changes, cancelations or no-show penalties;
• pricing errors or menu inaccuracies;
• loyalty program accuracy or reward eligibility;
• Company mistakes, delays or negligent behaviour;
• indirect or consequential damages;
• loss of expected rewards or points.

10.2. The Service is provided "as is", without warranties of availability or error-free operation.

10.3. The Company is solely responsible for Guest service and transactions.

11. Account Termination

You may request to delete your account or stop participating in the loyalty program at any time.

E-Tips may suspend or restrict access if:

• fraudulent activity is suspected;
• misuse of benefits occurs;
• required data is missing or invalid;
• legal obligations require it.

12. Amendments

E-Tips may update these Terms periodically.

Changes become effective 3 business days after publication.

Continued use of the Service means acceptance.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Abu Dhabi Global Market (ADGM).

Any dispute shall first be resolved by mediation under ADGM rules.

If unresolved within 30 days, the dispute goes to arbitration (one arbitrator, English language, seat: ADGM).
